This Terms of Use Agreement (the “Agreement”) constitutes a legally binding contract between TeamUp Design, a sole trading design service (“TeamUp”), and the Client, whether personally or on behalf of an entity (“Client”), regarding the Client’s access to and use of the TeamUp website: https://www.teamup.design (the “Website”), as well as any other media form, channel, mobile website, or mobile application related to, linked to, or otherwise connected thereto (collectively, the “Services”). By accessing and using the Website and/or Services, the Client acknowledges and agrees to be bound by the terms and conditions of this Agreement. Should the Client disagree with these terms, they are expressly prohibited from using the Website and/or Services, and must immediately cease all use. Any services rendered by TeamUp prior to such cessation remain an ongoing obligation for payment by the Client.
These Terms and Conditions apply to all services provided by TeamUp concerning the creation of designs, printing, copywriting, visual media, websites, brand identity, illustrations, images, and photography (“Artwork”). TeamUp reserves the right to modify or update these Terms and Conditions at any time without prior notice to the Client. The Client’s continued use of the Services following any such modification shall constitute their acceptance of such changes.
Unless otherwise stated, the Website and its contents, including without limitation all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), as well as all trademarks, service marks, and logos (collectively, the “Marks”) displayed on the Website, are the property of TeamUp or its licensors. The Content and Marks are protected by copyright, trademark, and other intellectual property rights under Australian law and international treaties. The Client is granted a limited licence to access and use the Website solely for personal, non-commercial purposes. Except as expressly provided in this Agreement, no part of the Website, its Content, or the Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior written consent of TeamUp.
Upon full payment of all fees and charges due, ownership of the Artwork and any other deliverables produced by TeamUp for the Client shall transfer to the Client. Notwithstanding the foregoing, TeamUp retains a perpetual, royalty-free licence to use, reproduce, and display such Artwork for promotional and marketing purposes, unless the Client specifically requests otherwise. The Client warrants that all materials and content provided to TeamUp during the provision of services are owned by the Client or that the Client has obtained all necessary rights, permissions, and licenses to allow their use.
In the event that any Project incorporates third-party fonts requiring a commercial licence for reproduction or public display, TeamUp shall notify the Client in writing. The Client acknowledges and agrees that it is the Client’s sole responsibility to purchase any required licences from the applicable rights-holder(s) of the fonts.
